Welcome, and thanks for visiting our website. These Terms of Service (“Terms”) explain the rules for using the website operated by Metro Metal Works, Inc (“Metro Metal Works,” “we,” “us,” or “our”), located at http://www.mmwfab.com (the “Site”).

Please read these Terms carefully. By using the Site — browsing it, submitting a request for quote, uploading a file, creating an account, or signing up for our emails or texts — you agree to these Terms. If you don’t agree, please don’t use the Site.

You may use the Site if you are at least 18 years old. If you’re using the Site on behalf of a company or other organization, you’re telling us that you have the authority to accept these Terms for that organization, and “you” in these Terms means both you and that organization.

Our Site is here to share information about Metro Metal Works, let you contact us, request quotes, share project files with us, and (in the future) manage a customer account. The Site is an information and communication tool. It is not a place where contracts for fabrication work are formed.

This is important: Any actual work we do for you — toll fabrication, full fabrication, material supply, or anything else — is governed by a separate written agreement, purchase order, signed quote, or other contract between us, not by these Terms. If anything in these Terms ever seems to conflict with the terms of an actual job, the terms of that job control for that work. These Terms only govern your use of the website itself.

You can use the Site to send us a request for quote and to share project details with us. A few things to understand about how that works:

  • A quote is an estimate, not a binding offer or contract. When we provide a quote, it reflects our pricing at that time based on the information and materials available to us. It does not obligate either of us to anything until we both confirm an order in writing through our normal ordering process.
  • Pricing can change. Our pricing depends on material costs, market conditions, quantities, specifications, and lead times, all of which can change. Quotes are valid only for the period stated on the quote (or, if none is stated, for a reasonable time), and we may revise or withdraw a quote before an order is confirmed.
  • We rely on what you give us. Quotes are based on the drawings, specifications, quantities, and other information you provide. If that information is incomplete or inaccurate, the quote may not be accurate, and the final price or feasibility may differ.
  • No guarantee of a response. Submitting an RFQ doesn’t guarantee that we’ll quote the work or take the job. We may decline any request.

The Site lets you upload drawings, specifications, models, and other files so we can understand and quote your project. When you submit files or other content to us through the Site:

  • You keep your rights. We don’t claim ownership of the drawings, designs, or files you upload. They stay yours (or your licensor’s).
  • You give us permission to use them. You grant us a non-exclusive license to store, copy, and use the files you submit for the purpose of reviewing your request, preparing a quote, communicating with you, and — if we move forward together — performing the work. We won’t use your project files for unrelated purposes.
  • You promise you have the right to share them. You represent that you own the content you upload or have permission to share it with us, and that uploading it and letting us use it as described here doesn’t violate anyone else’s rights (including intellectual property, confidentiality, or contractual rights).
  • We try to keep project files confidential, and we’ll handle them with reasonable care, but please don’t submit anything through the Site that is extremely sensitive or that you can’t risk being transmitted over the internet. For highly confidential projects, talk to us about a non-disclosure agreement before sharing.
  • You’re responsible for your content. We’re not responsible for the accuracy, completeness, or legality of anything you submit, and we may remove or decline to act on any submission.

We may offer the ability to create a customer account on the Site. If and when account features are available:

  • You’re responsible for the information you provide when setting up your account, and for keeping it accurate.
  • You’re responsible for keeping your login credentials confidential and for everything that happens under your account. Let us know right away if you think your account has been used without your permission.
  • We may suspend or close accounts that are inactive, that violate these Terms, or for other reasonable business reasons.

Until account features are made available on the Site, this section doesn’t apply.

You can choose to sign up to receive marketing emails and/or text messages from us. Here’s how that works:

Email. If you sign up for our emails, you’re agreeing to receive newsletters, updates, and promotional messages. You can unsubscribe anytime using the link in any email.

Text messages (SMS). If you opt in to text messages, you’re agreeing to receive marketing and informational texts from us at the mobile number you provide. By opting in:

  • You confirm the mobile number is yours and that you consent to receive texts from us at that number.
  • Message frequency varies. Message and data rates may apply depending on your mobile plan.
  • You can opt out at any time by replying STOP to any of our texts. Reply HELP for help. Opting out is free.
  • Consent to receive marketing texts is not a condition of buying anything from us or getting a quote.
  • We’re not responsible for delays or failures in message delivery, which depend on your carrier and other factors outside our control.

We handle the information you give us in line with our Privacy Policy. Please review it to understand how we collect and use your information.

When using the Site, please don’t:

  • Use it for any unlawful purpose or in violation of these Terms.
  • Upload or transmit anything that infringes someone else’s rights, that you don’t have the right to share, or that contains viruses or harmful code.
  • Try to gain unauthorized access to the Site, other users’ accounts, or our systems.
  • Interfere with or disrupt the Site, or use bots or scrapers to collect data from it without our permission.
  • Submit false, misleading, or fraudulent information.

We may suspend or block access to anyone who misuses the Site.

The Site itself — including our name, logo, text, graphics, photos, layout, and design — belongs to Metro Metal Works or our licensors and is protected by intellectual property laws. You may view and use the Site for its intended purpose, but you may not copy, reproduce, or use our content, branding, or design for your own purposes without our written permission. (This doesn’t affect your rights in the project files you upload — see Section 4.)

The Site may include links to third-party websites or services that we don’t control. We provide those links for convenience only. We’re not responsible for the content, products, or practices of any third-party site, and including a link doesn’t mean we endorse it. Visiting a linked site is at your own risk and subject to that site’s own terms.

We work to keep the Site accurate and available, but we provide it “as is” and “as available,” without warranties of any kind, whether express or implied. To the fullest extent allowed by law, we disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement, as they relate to the website.

This means, among other things, that:

  • We don’t promise the Site will always be available, error-free, secure, or free of viruses.
  • Information on the Site (including general descriptions of our capabilities and services) is for general informational purposes and may not reflect current pricing, availability, or specifications.
  • This section is about the website. It does not limit, change, or waive any warranties or commitments we make in a signed contract or accepted quote for actual fabrication work — those are governed by that contract.

To the fullest extent allowed by law, Metro Metal Works and its owners, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Site, even if we’ve been advised that such damages are possible.

Again, this section is about your use of the website. It does not limit or change any rights or remedies set out in a separate signed contract or accepted quote for fabrication work, which has its own terms.

You agree to indemnify and hold harmless Metro Metal Works and its owners, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of: (a) your use of the Site; (b) content or files you submit through the Site; (c) your violation of these Terms; or (d) your violation of any law or the rights of a third party.

These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules. You agree that any dispute relating to these Terms or your use of the Site will be brought exclusively in the state or federal courts located in or serving Henry County, Georgia, and you consent to the jurisdiction of those courts.

We may update these Terms from time to time. When we do, we’ll post the updated version here and change the “Effective date” at the top. If the changes are significant, we’ll try to give reasonable notice. By continuing to use the Site after changes take effect, you’re agreeing to the updated Terms.

  • Entire agreement (about the Site). These Terms are the entire agreement between you and us regarding your use of the Site, and they replace any earlier understandings about the Site. (Separate contracts for fabrication work stand on their own.)
  • Severability. If any part of these Terms is found unenforceable, the rest stays in effect.
  • No waiver. If we don’t enforce a part of these Terms right away, that doesn’t mean we give up the right to enforce it later.
  • Assignment. You may not transfer your rights under these Terms without our consent. We may assign these Terms in connection with a sale or reorganization of our business.
